Condizioni dei crediti AI — versione 1.1
Alcune funzioni di StereoCAD e StereoCloud3D usano Stereo AI, che lavora sui server di MENCI Engineering e si paga con crediti AI prepagati. Queste condizioni dicono come si ricevono, si usano e si ricaricano i crediti. Sono l'Allegato C del Contratto di licenza e manutenzione e valgono insieme all'EULA; in caso di contrasto prevalgono il modulo d'ordine, poi il Contratto, poi l'EULA.
1. Il credito
1.1 Valore. Un credito AI vale 0,10 euro, IVA esclusa.
1.2 Legato alla licenza. Il saldo è tenuto sul server di licenza e vale per tutti i dispositivi attivati con quella licenza. I crediti non si trasferiscono ad altre licenze o ad altre persone e non si convertono in denaro.
1.3 A cosa serve. I crediti pagano solo le funzioni di Stereo AI che li consumano; il programma e il manuale indicano quali sono. Tutto il resto del programma funziona con o senza crediti.
2. Crediti inclusi nella licenza
2.1 Licenze annuali. Ogni anno pagato di una licenza Commerciale, Educational o Pubblica Amministrazione comprende 500 crediti AI per licenza.
2.2 Non si accumulano. All'inizio di ogni anno pagato i crediti inclusi tornano a 500: quelli non usati non passano all'anno dopo e non si rimborsano. I crediti ricaricati restano (punto 3.6).
2.3 Prova. La licenza di prova dura 7 giorni e comprende 250 crediti AI, che non si possono ricaricare. Quando i crediti rimasti non bastano più per una richiesta, la prova termina, anche se i 7 giorni non sono finiti.
3. Ricariche
3.1 Facoltative. Le licenze Commerciale, Educational e Pubblica Amministrazione possono acquistare crediti in più, a pacchetti. La licenza di prova non si ricarica.
3.2 Pacchetti. Listino in vigore: 500 crediti a 50 euro, 1.000 crediti a 100 euro, 2.500 crediti a 250 euro, IVA esclusa. I prezzi si aggiornano al massimo una volta l'anno, con effetto dal rinnovo e con un aumento non superiore al 10% (art. 6.5 del Contratto).
3.3 Come si acquistano. Su ordine, con bonifico: si scrive a info@menci.com indicando la licenza e il pacchetto, MENCI Engineering invia l'offerta e accredita i crediti quando riceve il bonifico. L'acquisto con carta dalla finestra Crediti AI del programma (menu Aiuto) arriverà in seguito; il pagamento avverrà sulla pagina sicura del fornitore dei pagamenti, che si apre nel browser, e i dati della carta non passeranno dal programma né dai server di MENCI Engineering.
3.4 Prima di pagare. L'offerta indica l'importo netto, l'IVA e il totale. Nulla è dovuto finché il Cliente non paga.
3.5 Accredito. I crediti si aggiungono al saldo appena il pagamento è ricevuto. Ogni pagamento accredita una sola volta.
3.6 Validità. I crediti ricaricati si usano dopo quelli inclusi e non scadono finché dura il contratto: al rinnovo restano e si sommano ai 500 crediti dell'anno (art. 3.3 del Contratto). Esempio: 600 crediti ricaricati non usati diventano 1.100 crediti dopo il rinnovo.
3.7 Fattura. MENCI Engineering emette la fattura elettronica ai dati di fatturazione indicati nell'ordine. Per l'Italia si può indicare il codice destinatario o la PEC.
4. Consumo
4.1 Si paga l'uso reale. Ogni richiesta consuma crediti in base al calcolo che usa davvero. Il programma mostra sempre il saldo e i crediti usati da ogni richiesta.
4.2 Quota trattenuta. Prima di ogni richiesta il server trattiene sul saldo una quota massima fissata per quella funzione, fino a 10 crediti per richiesta. A risposta ricevuta addebita solo il consumo effettivo e libera il resto. Se il saldo disponibile non copre la quota trattenuta, la richiesta non parte e il programma lo dice.
4.3 Richieste non riuscite. Una richiesta che non va a buon fine non consuma crediti.
4.4 Saldo esaurito. Non esiste scoperto. A saldo esaurito si fermano solo le funzioni di Stereo AI che consumano crediti; il resto del programma funziona. Un controllo in corso dice quanti elementi ha controllato e che il resto non è stato inviato.
4.5 Sola consultazione. Quando la licenza è in sola consultazione (art. 6.1 del Contratto) le funzioni AI non si usano.

La partita IVA di un altro Paese UE si verifica sul registro europeo VIES prima del pagamento: se il registro la dà non valida, l'acquisto senza IVA non è possibile. Se il registro non risponde, l'acquisto prosegue e MENCI Engineering verifica la partita IVA prima di emettere la fattura.
6. Rimborsi e cessazione
6.1 Nessun rimborso. I crediti, inclusi e ricaricati, non sono rimborsabili, trasferibili o convertibili in denaro.
6.2 Fine del contratto. Alla cessazione del contratto decadono i crediti inclusi e i crediti ricaricati non usati.
6.3 Eccezione. Se MENCI Engineering cessa il servizio di licenza di un prodotto, rimborsa il valore dei crediti ricaricati non usati (artt. 4.5 e 6.4 del Contratto).

AI credits terms — version 1.1 (English translation)
Some features of StereoCAD and StereoCloud3D use Stereo AI, which runs on MENCI Engineering's servers and is paid for with prepaid AI credits. These terms say how credits are received, used and topped up. They are Annex C of the License and Maintenance Agreement and apply together with the EULA; in case of conflict the order form prevails, then the Agreement, then the EULA.
1. The credit
1.1 Value. One AI credit is worth 0.10 euro, VAT excluded.
1.2 Tied to the license. The balance is kept on the license server and applies to every device activated with that license. Credits cannot be transferred to other licenses or other people and cannot be converted into money.
1.3 What it is for. Credits pay only for the Stereo AI features that consume them; the program and the manual say which ones. Everything else in the program works with or without credits.
2. Credits included with the license
2.1 Annual licenses. Each paid year of a Commercial, Educational or Public Administration license includes 500 AI credits per license.
2.2 No carry-over. At the start of each paid year the included credits return to 500: unused ones do not carry over to the next year and are not refunded. Top-up credits remain (point 3.6).
2.3 Trial. The trial license lasts 7 days and includes 250 AI credits, which cannot be topped up. When the remaining credits no longer cover a request, the trial ends, even if the 7 days have not run out.
3. Top-ups
3.1 Optional. Commercial, Educational and Public Administration licenses can buy additional credits, in packs. A trial license cannot be topped up.
3.2 Packs. Price list in force: 500 credits for 50 euro, 1,000 credits for 100 euro, 2,500 credits for 250 euro, VAT excluded. Prices are updated at most once a year, effective from the renewal, with an increase of no more than 10% (art. 6.5 of the Agreement).
3.3 How to buy. By order, with a bank transfer: write to info@menci.com stating the license and the pack; MENCI Engineering sends the offer and credits the balance when the transfer is received. Buying by card from the AI Credits window of the program (Help menu) will come later; the payment will take place on the payment provider's secure page, which opens in the browser, and card details will never pass through the program or MENCI Engineering's servers.
3.4 Before paying. The offer states the net amount, the VAT and the total. Nothing is due until the Customer pays.
3.5 Crediting. Credits are added to the balance as soon as the payment is received. Each payment is credited once only.
3.6 Validity. Top-up credits are used after the included ones and do not expire while the agreement lasts: at renewal they remain and add to the 500 credits of the year (art. 3.3 of the Agreement). Example: 600 unused top-up credits become 1,100 credits after the renewal.
3.7 Invoice. MENCI Engineering issues the electronic invoice to the billing details given in the order. For Italy, the recipient code (SDI) or PEC can be given.
4. Use
4.1 Real use is charged. Each request consumes credits according to the computing it really uses. The program always shows the balance and the credits used by each request.
4.2 Amount held. Before each request the server holds on the balance a maximum amount set for that feature, up to 10 credits per request. When the answer arrives it charges only the actual use and releases the rest. If the available balance does not cover the amount held, the request does not start and the program says so.
4.3 Failed requests. A request that fails consumes no credits.
4.4 Balance used up. There is no overdraft. When the balance is used up only the Stereo AI features that consume credits stop; the rest of the program keeps working. A check that is running says how many items it checked and that the rest was not sent.
4.5 View-only mode. While the license is in view-only mode (art. 6.1 of the Agreement) the AI features cannot be used.

A VAT number of another EU country is checked on the EU VIES register before payment: if the register says it is not valid, the purchase without VAT is not possible. If the register does not answer, the purchase goes ahead and MENCI Engineering checks the VAT number before issuing the invoice.
6. Refunds and termination
6.1 No refunds. Credits, included and topped up, cannot be refunded, transferred or converted into money.
6.2 End of the agreement. When the agreement ends, the included credits and the unused top-up credits lapse.
6.3 Exception. If MENCI Engineering discontinues the license service of a product, it refunds the value of the unused top-up credits (arts. 4.5 and 6.4 of the Agreement).
